Outline
A number of BLT researchers are tracking and exploring major developments in
“mainstream” corporate law in Australia, and their implications
for business, institutional investors, regulators and other key players, eg:
- the impact of corporate governance reform on company directors (Associate
Professor Helen Anderson)
- insider trading and other developments in financial services regulation
(Associate Professor Paul Latimer)
- the treatment of financiers as secured creditors under guarantees etc (Dr
Janine Pascoe)
- executive remuneration, eg the operation of new CLERP 9 provisions in the
first company AGM reporting season (Abe Herzberg)
- how do companies under voluntary administration fare over the longer term
and broader issues in the areas of “corporate distress”, collapse
and rescue (Abe Herzberg)
- civil penalty regime, enforcement, Australian Securities and Investment
Commission (Michelle Welsh)
- performance-based pay, earnings management and directors’ duties
(Eu-Jin Teo)
- technology issues confronting corporations, eg Australia’s anti-'spam'
legislation (Mark Bender)
- shareholders' remedies (Nance Frawley)
- financial services regulation and ASIC (Andrew Serpell)
- the regulation of corporate groups, and the "separate entity"
and "limited liability" principles (Phillip Lipton)
- the effectiveness of shareholder class actions as mechanisms to secure compensation
for aggrieved shareholders and to enhance corporate governance and accountability (Associate Professor Vince Morabito)
